Vitality 360 Membership Participation Agreement

VITALITY 360 MEMBERSHIP PARTICIPATION AGREEMENT

This Participation Agreement (the “Agreement”) is made between Michelle Joy Kramer and Samvada Consulting, LLC (“Vitality 360” or the “Company”), and Participant (“Participant” or “You”).

To ensure a supportive, professional, and confidential environment within the Vitality 360 Membership, you agree to the following terms:

I. VITALITY 360 MEMBERSHIP FEES

A. Membership Fees
As consideration for participation in the Vitality 360 Membership, you agree to pay monthly payments or discounted annual payments in the amounts presented and purchased during the checkout process.

You agree that the Membership Fee may be canceled at any time by submitting a written request to michelle@michellejoykramer.com. Upon requesting cancellation, you will retain access to the Vitality 360 Membership until the end of your current billing cycle, and no future payments will be collected.

All memberships are non transferable and non refundable. All monthly and annual memberships will be automatically renewed for your convenience and billed to the credit card on file. Memberships can be cancelled at any time by contacting customer service. We reserve the right to change membership benefits, fees and terms at any time for any reason.

You confirm that payment of the Membership Fee will not place a significant financial burden on you or your family.

II. TERMINATION OF THE VITALITY 360 MEMBERSHIP

A. Non-Payment
Vitality 360 may terminate your membership if any payment due is not received within fourteen (14) calendar days from its due date.

B. Breach of Agreement
Vitality 360 may terminate this Agreement if you breach any of its terms. In this case, no refund will be issued for prior payments, but all future payments will cease immediately upon termination.

C. Access to Materials
Upon termination of your membership, either by your choice or the determination of Vitality 360, access to program materials will be revoked. These materials are available exclusively to active, paying members.

III. CODE OF CONDUCT

A. You agree to adhere to the following standards:

Personal Responsibility: Your participation is voluntary, and actions or inactions taken as a result of coaching or materials are your responsibility.
Be Coachable: Share relevant information with coaches to receive the most benefit from the program.
Well-Being: Your well-being is your responsibility. You agree to seek appropriate outside professional resources if necessary.
Confidentiality: Respect the privacy of other participants by treating all shared information as strictly confidential unless explicit permission is given to share otherwise.
Courtesy: Maintain a respectful and supportive demeanor toward other participants.
Program Integrity: Do not engage in any conduct detrimental to other members or Vitality 360.
Educational Purpose: Understand that the program provides educational materials and coaching and is not a substitute for professional medical or psychological advice.

IV. CONFIDENTIALITY

A. Definition
You agree to hold in confidence and not disclose any proprietary or confidential information obtained through the Vitality 360 Membership. This includes, but is not limited to, program materials, coaching techniques, and participant information.

B. Use of Materials
You may not copy, distribute, or modify any original materials provided by Vitality 360.

V. INTELLECTUAL PROPERTY

A. Ownership
All original materials, methods, designs, and content provided within the Vitality 360 Membership are the sole property of Michelle Joy Kramer and Samvada Consulting, LLC unless otherwise noted. You agree not to reproduce, distribute, or use these materials for any purpose outside of personal use. This does not apply to third-party materials such as videos, articles, and content sourced outside of the program. Ownership of third-party materials reside with the original owner.

VI. DISCLAIMER

A. Medical Disclaimer
Vitality 360 is not comprised of licensed medical professionals. All materials are intended for educational purposes and are not a substitute for medical advice, diagnosis, or treatment. Participants should consult a physician before beginning any new program.

B. No Guarantees
While Vitality 360 is designed to support holistic wellness, results are not guaranteed and vary based on individual circumstances.

VII. LIMITATION OF LIABILITY

Vitality 360 and its representatives are not liable for any indirect, incidental, or consequential damages arising from participation in the membership.

VIII. GOVERNING LAW

This Agreement shall be governed by the laws of the State of Florida, without regard to its conflict of laws principles.

IX. MISCELLANEOUS PROVISIONS

A. Amendments and Waivers
Any modifications to this Agreement must be in writing and signed by both parties.

B. Entire Agreement
This Agreement constitutes the entire understanding between you and Vitality 360 regarding the program.

C. Severability
If any provision of this Agreement is found invalid, the remaining provisions shall remain in full force.

By enrolling in the Vitality 360 Membership, you acknowledge that you have read, understood, and agreed to all terms and conditions outlined in this Agreement.
